My guess is that you have installed Office 2K (or SAS 8) and with it a
copy of Version 4.0 or higher of odbcjt32.dll, the ODBC Jet driver.
Microsoft violated its own rules by changing the interface and leaving
the name of this dll the same.  If these newer components are present,
you simply cannot create an Access 97 database using ODBC (which I
assume is what proc export is using under the covers) and that is why
Access 97 refuses to read your (Access 2K) file.

The bad news is that is very hard to go backwards and uninstall a
working ODBC 3.5 installation after an installation of the newer
database components.

Stat/Transfer can write Access '97 files on computers with the newer
dll's, but we had to go through contortions to make this happen.
