This fixed it, did a fresh pull over of my s12 workspace and built mdb 
modules (both kernel and db modules).

Does your workspace include the fix for:

15893363 problems using s11update mdb modules after 15815702

MDB modules built after that fix cannot be used with MDB built before that
fix.
