Unfortunately, there can be many reasons for this error code.
One particularly obscure situation when I have seen this problem is when
a DLL 
is *not* linked with "-Fixed:No" and it can't be loaded into it's 
preferred base address.  

A "dumpbin -headers" on the main EXE and dependent DLLs may indicate the
problematic DLL(s).
Examine dumpbin's output "FILE HEADER VALUES" -> "characteristics" and
"OPTIONAL HEADER VALUES" -> "image base" for conflicting DLL addresses.

Can anyone explain what error code 12 (ERROR_INVALID_ACCESS) means?
Especially when returned by CreateProcess()?
Invalid access to what?
