ipchains -A forward -s 10.0.0.0/8 -d 0.0.0.0/0 -j MASQ
ipchains -A input -p tcp -s 10.0.0.0/8 -d 0.0.0.0/0 80 -j REDIRECT 3128

The ips of the machines behind the fw machine must be 10.0.0.0 addresses
or you need to modify that part of the line.
